What it means to publish an application in the SIDES marketplace — and what SIDES undertakes in return.

1. What this agreement adds
This agreement governs the publication of your application in the SIDES
marketplace. It applies in addition to the
terms of service, and prevails over them where the two
differ.
A listing is the public entry for one
application: its name, description, imagery, categories and versions. A
SIDES customer is a business using the SIDES
platform who may install your application.
2. Submitting a listing
You create a listing in the portal and submit it for review. Submitting is a
declaration that the listing is accurate, that your application works as
described, and that you hold the rights to everything in it.
A listing carries a version. Publishing a new version goes through the same
review as the first, because what a SIDES customer installs is a version and
not a name.
3. Review, approval and rejection
Nothing becomes public by accident. Every listing
and every version passes from draft to review to published through an explicit
decision that is recorded. No state changes itself, and there is no automatic
publication after a waiting period.
We review for the content rules in section 4 and for whether the application
does what the listing says. We are not reviewing your source code and approval
is not a certification: it means the listing may appear, not that we vouch for
what the software does.
A rejection names its reason. You may correct and resubmit as often as you
like. We do not promise a decision within a fixed period, and this agreement
does not state one rather than stating one we are not yet measuring.
4. Content rules
A listing must not:
describe functionality the application does not have, or claim a
certification, an award or a customer it does not have;
use SIDES branding in a way that suggests the application is made by SIDES,
endorsed by SIDES, or part of the SIDES platform itself;
name or show a SIDES customer without their agreement;
infringe third-party rights, including in screenshots and sample data;
contain unlawful content, malicious code, or anything that collects data the
application does not need.
Screenshots and sample data must not contain real personal data. A screenshot
of a real order with a real guest's name is a data protection incident with a
publish button on it.
5. Rights in your material
Your application, your brand and your material stay yours. Nothing here
transfers ownership.
You grant us a non-exclusive, worldwide, royalty-free right to reproduce,
display and distribute the material in your listing — name, description,
imagery, logo — for the purpose of operating and promoting the marketplace,
for as long as the listing is published and for the archival record afterwards.
Published history survives withdrawal.
Withdrawing a listing removes it from the catalogue. It does not retroactively
erase the record that it was available, which version was available when, and
what SIDES customers were shown at the time. That record is what makes the
marketplace answerable, and it is why withdrawal is a state change rather than
a deletion.
6. Editorial placement
SIDES decides which applications are featured, which badges they carry and in
what order the catalogue is presented. These are editorial decisions and you
have no claim to any of them.
Placement is not for sale. A featured slot is not
an advertising product and a higher tier does not buy one. Where a placement is
editorial, the storefront says so, so that a SIDES customer can tell a choice we
made from a rank a number produced.
7. Ratings and reviews
SIDES customers may rate and review your application. Reviews are moderated
against a published standard before they appear, and moderation removes what
breaks the rules — not what is unflattering.
You cannot have a review removed for being
negative, and we will not remove one on request. You may reply publicly
once per review; your reply is moderated like any other public content. You may
flag a review that you believe breaks the rules, and we answer with a decision.
8. Support and your customers
You support your own application. The listing names a support contact, you keep
it current, and you answer a SIDES customer's support request within a
reasonable time.
The contract about your application is between you and the SIDES customer. We
are not a party to it, we do not collect payment for it under this agreement,
and we are not liable under it. Where a SIDES customer reaches us about your
application, we refer them to you.
9. Suspension and removal
We may suspend a listing where:
it breaks a content rule in section 4;
the application is causing harm to SIDES customers or to the platform — data
loss, a security defect, or a load pattern that degrades the service for
others;
a third party has made a substantiated claim of infringement;
the partner account is suspended under the terms of service.
We tell you the reason and, except where a delay would cause harm, we ask you
to fix it first. A suspension is lifted as soon as its reason is gone. A
suspended listing is visible to you in the portal, with its state and the
reason, for as long as the account exists.
10. Commercial model
Today the marketplace lists applications. It does
not transact them: we take no revenue share, we do not bill SIDES customers on
your behalf, and we charge nothing per installation. What you pay is your tier,
and nothing in this agreement adds to it.
Should that change, it changes by agreement and not by a new version of this
document. A revenue share introduced by an amendment nobody had to accept would
be a price change dressed as a legal update, and this section exists so that it
cannot be read that way.
11. When the agreement ends
This agreement ends with the partner contract. Your listings are withdrawn from
the catalogue at that point.
Sections 5 (rights in your material, to the extent it concerns the archival
record), 7 (reviews already published) and 8 (obligations towards SIDES
customers you already have) survive the end of this agreement for as long as
their subject matter does.
